Terms and Conditions

1. Introduction
Welcome to CoachJames.com.au ("Website"). These Terms and Conditions govern your access to and use of this Website and any coaching, training, consulting or related services provided by Coach James ("Coach James", "we", "us" or "our").
By accessing the Website or engaging our services, you agree to be bound by these Terms and Conditions.
For the purposes of these Terms, Client means any individual or organisation engaging Coach James to provide coaching, training, facilitation, keynote speaking, consulting or related professional services.
2. Services
Coach James provides professional services including, but not limited to:
Executive and leadership coaching
Career coaching
Interview coaching
Training and workshops
Keynote presentations
Consulting services
Digital resources and educational content
Services are designed to support personal and professional growth and leadership development. While every effort is made to help Clients achieve meaningful outcomes, no specific results or outcomes are guaranteed.
3. Engagement Agreement
Before services commence, Coach James and the Client will enter into an Engagement Agreement that outlines the agreed scope of services, coaching package, fees, payment terms, session inclusions, duration and any additional agreed conditions.
Where any inconsistency exists between these Terms and the Engagement Agreement, the Engagement Agreement will prevail to the extent of that inconsistency.
4. Client Responsibilities
The Client acknowledges and agrees that they:
remain responsible for their own decisions, actions and outcomes;
will actively participate in the coaching process;
will provide accurate and complete information;
will communicate respectfully and honestly;
will use the Website and services lawfully and appropriately; and
understand that meaningful results depend upon their own commitment and implementation.
5. Coaching Disclaimer
Coaching is a collaborative process intended to facilitate personal, professional and leadership development.
Coach James provides guidance, accountability, challenge and support. However, the Client acknowledges that coaching outcomes depend upon their own commitment, effort, decisions and actions.
Coach James does not guarantee any particular career, business, financial, leadership or personal outcome.
Coaching services are not a substitute for medical, psychological, psychiatric, legal, financial or other regulated professional advice. Clients should seek advice from appropriately qualified professionals where appropriate.
6. Payments, Payment Plans and Refunds
6.1 Payments
The fees payable for coaching services, programs, training and other services will be agreed between Coach James and the Client before the commencement of any work and will be set out in the applicable Engagement Agreement. By engaging Coach James, the Client agrees to pay the fees specified in the Engagement Agreement.
Payments are securely processed through Stripe, our third-party payment provider. By making a payment, the Client acknowledges that payment information will be processed in accordance with Stripe's Terms of Service and Privacy Policy. Coach James does not collect or store full credit or debit card details.
Unless otherwise agreed in writing, payment is required at the time specified within the Engagement Agreement. Services may not commence until payment has been successfully received.
All fees are quoted in Australian Dollars (AUD) and include GST where applicable.
6.2 Payment Plans and Recurring Payments
Where payment plans or recurring payment arrangements are offered, the Client authorises Stripe to process future payments according to the agreed schedule.
The Client is responsible for ensuring that their nominated payment method remains valid.
Should a scheduled payment fail, Coach James may:
re-attempt the payment;
suspend coaching services until payment has been received;
suspend access to digital resources; or
cancel future bookings where accounts remain overdue.
Cancellation of a payment plan does not cancel amounts already owing under the Engagement Agreement.
6.3 Cancellations and Rescheduling
Clients must provide at least 24 hours' notice to reschedule a coaching session.
Where sufficient notice is provided, Coach James will make reasonable efforts to reschedule the session to a mutually convenient time.
Requests received with less than 24 hours' notice may be accommodated at the sole discretion of Coach James. If unforeseen circumstances arise, Clients are encouraged to contact Coach James as soon as practicable to discuss available options.
Sessions cancelled with less than 24 hours' notice, or missed without notice, may be forfeited and will generally not be refunded.
If Coach James is required to cancel or postpone a session due to illness, emergency or other unforeseen circumstances, the cancelled session will not count towards the Client's allocated coaching sessions. Coach James will use reasonable endeavours to provide as much notice as practicable and will work with the Client to reschedule the session at the earliest mutually convenient opportunity.
6.4 Refunds
Refunds are not provided for change of mind, unused coaching sessions, partially completed programs or digital products once access has been granted.
Nothing in these Terms limits the Client's rights under the Australian Consumer Law.
7. Third-Party Services and Platforms
Coach James uses trusted third-party providers to deliver aspects of its services, including:
CoachAccountable for coaching management, scheduling, messaging, resources and session notes;
Stripe for secure payment processing;
Google Meet for online coaching sessions, workshops and meetings;
Amazon Connect for telephone communications and voicemail services.
By engaging Coach James, the Client consents to the use of these services where reasonably necessary to deliver coaching services.
Some providers may store or process information outside Australia. Coach James takes reasonable steps to ensure third-party providers handle personal information consistently with Australian privacy requirements. However, Clients acknowledge that overseas disclosures may occur where necessary for service delivery.
Use of these platforms is also subject to each provider's own terms of service and privacy policies.
This Website may also contain links to external websites for convenience. Coach James is not responsible for the content, availability or privacy practices of third-party websites.
8. Privacy and Personal Information
Coach James is committed to protecting personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
Personal information is collected only where reasonably necessary to provide services, administer coaching engagements, communicate with Clients and improve our offerings.
Reasonable steps are taken to protect personal information against misuse, interference, loss and unauthorised access.
Clients may request access to or correction of their personal information by contacting Coach James.

9. Confidentiality
Coach James respects the confidential nature of coaching conversations.
Information shared during coaching sessions will remain confidential except where:
disclosure is required by law;
there is a serious and imminent threat to the safety of any person;
disclosure is authorised by the Client; or
disclosure is reasonably necessary for the administration of coaching services (for example, secure record keeping or platform administration).
10. Intellectual Property
All intellectual property, including coaching frameworks, methodologies, presentations, workbooks, digital resources, website content, branding and training materials, remains the property of Coach James unless otherwise stated.
Clients receive a non-exclusive, non-transferable licence to use materials supplied for their own personal or organisational development.
Materials must not be copied, reproduced, distributed, adapted or commercially exploited without prior written consent.
11. Limitation of Liability
To the maximum extent permitted by law, Coach James excludes liability for any indirect, consequential, incidental or special loss, including loss of income, profits, business opportunities, goodwill or reputation arising from the use of the Website or services.
The Client acknowledges they remain solely responsible for decisions made and actions taken as a result of coaching, training or consulting services.
Where liability cannot lawfully be excluded, Coach James' liability is limited to the maximum extent permitted by law.
Nothing in these Terms excludes or limits rights available under the Australian Consumer Law.
12. Insurance
Coach James maintains appropriate insurance relevant to the professional services provided, including Professional Indemnity Insurance and Public Liability Insurance where applicable.
The existence of insurance does not create additional rights or remedies for Clients nor limit the operation of these Terms or the Engagement Agreement.
Clients remain responsible for maintaining any personal, medical, income protection or other insurance appropriate to their own circumstances.
13. Force Majeure
Coach James will not be liable for any delay, interruption or failure to perform obligations where such delay or failure results from circumstances beyond reasonable control, including illness, natural disasters, internet outages, telecommunications failures, power outages, government restrictions, acts of God or failures of third-party technology providers.
Where reasonably practicable, Coach James will notify affected Clients as soon as possible and will make reasonable efforts to reschedule affected services.
14. Changes to these Terms
Coach James may amend these Terms from time to time.
Updated Terms become effective upon publication on the Website and apply to future services unless otherwise agreed in writing.
15. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and any Australian court having jurisdiction to hear an appeal from those courts.
